Welcome to UmpireHub. These Terms and Conditions govern your access to and use of the UmpireHub website, mobile applications, and all services provided by code.ai.solutions (collectively, the "Service").

2Description of Service
UmpireHub provides a platform to connect sports officials with game opportunities. We do not provide the games ourselves; we merely provide the marketplace/platform for communication.
3User Accounts and Security
Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Accuracy: You agree to provide accurate, current, and complete information during the registration process. Unauthorized Use: You must notify us immediately of any unauthorized use of your account or any other breach of these Terms.
4User Conduct and Restrictions
You agree not to: Use the Service for any illegal or unauthorized purpose; Post fraudulent, defamatory, or obscene content; Attempt to interfere with the proper working of the Service or bypass any measures we use to prevent or disable any part of the Service; Use any automated system (bots, spiders, etc.) to scrape data from the platform.
5Modification and Termination of Service
Right to Modify: We reserve the right to modify, suspend, or discontinue any part of the Service (or the Service as a whole) at any time without notice. Right to Terminate Access: We reserve the right, in our sole discretion, to terminate your access to the Service, your account, or your content at any time, with or without cause, including for breach of these Terms. Service Availability: We do not guarantee that the Service will be available at all times or that the Service will be error-free.
6Disclaimer of Warranties (The "As-Is" Clause)
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the maximum extent permitted by law, code.ai.solutions expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that the availability of game opportunities will be uninterrupted.
7Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL code.ai.solutions BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR USE, OR ANY LOSS OF REVENUE, ARISING FROM (A) YOUR USE OF THE SERVICE; (B) THE CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (C) ANY UNAUTHORIZED ACCESS TO OUR SERVERS AND/OR PERSONAL INFORMATION. Specifically, we are not liable for any missed game opportunities, loss of income, or disputes between users (officials and organizers) arising through the platform.
8Limitation of Service Availability (The "No Notice" Clause)
We reserve the right to alter, suspend, or discontinue the Service at any time, without prior notice, for any reason, including but not limited to maintenance, updates, or business decisions. We shall not be held liable to you or any third party for any such alteration, suspension, or discontinuation of the Service.
9Third-Party Links and Content
The Service may contain links to third-party websites or services that are not owned or controlled by us. We assume no responsibility for the content, privacy policies, or practices of any third-party websites.
10Indemnification
You agree to defend, indemnify, and hold harmless code.ai.solutions and its employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right.
11Governing Law
These Terms shall be governed and construed in accordance with the laws of California, United States of America, without regard to its conflict of law provisions.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes via the platform or email. Continued use of the Service after such changes constitutes your acceptance of the new Terms.
